Mercy Ministry Companions (MMC) is a Catholic Ministerial Public Juridic Person established to support Mercy ministries and the people who serve within them. MMC provides canonical stewardship across ministries in healthcare, aged care, community services and education, helping them respond to emerging needs and flourish into the future. MMC is entering an important phase in its governance development and is seeking a capable and committed professional to support the work of its Trustee Directors, Executive Officer and committees. This is an opportunity to contribute to ethical stewardship, strong governance practice and mission-focused service within a small, dedicated and collaborative team.
Summary:
The Governance Officer and Assistant Company Secretary provides high quality governance and secretariat support to the Executive Officer and Company Secretary, the Trustee Directors and relevant committees of Mercy Ministry Companions. The role supports the effective discharge of MMC’s canonical and civil governance responsibilities by enabling strong board and committee practice, maintaining sound governance systems, contributing to policy and compliance work, and supporting effective communication and engagement across MMC and its ministries. This is a permanent full-time position based at 250 Victoria Parade, East Melbourne, with hybrid working arrangements available as agreed with the Executive Officer.
Responsibilities:
- Support the effective functioning of the Trustee Directors, board and committees through well-planned governance processes, quality documentation and timely coordination of meeting activities.
- Provide high-quality secretariat support to Trustee Directors, committees and working groups, including accurate follow-up of actions and governance requirements.
- Maintain sound governance systems, registers and records in line with confidentiality, access and records management requirements.
- Administer board portal access, permissions and document control arrangements to support secure, accurate and accessible governance information.
- Prepare and maintain governance documentation, frameworks, templates, policies and guidance materials that support consistent and effective governance practice.
- Support the monitoring of governance and compliance obligations, providing informed guidance on processes, approvals, policies and documentation requirements.
- Act as a key liaison between Mercy Ministry Companions, ministry boards, executive officers, company secretaries and other stakeholders on governance matters.
- Prepare and coordinate governance-related correspondence, briefings, updates, research, analysis and reports to support informed engagement and decision-making.
- Support the Executive Officer in progressing strategic priorities and related organisational initiatives, including meetings, events, visits, formation activities and stakeholder engagement.
- Work collaboratively with MMC staff to deliver coordinated, responsive and service-oriented organisational support.
What you bring:
- Demonstrated experience in governance, company secretariat or a related discipline, with a sound understanding of governance principles and the practical operation of boards and committees.
- The ability to prepare high-quality agendas, minutes, governance papers, correspondence and policy documents with accuracy, judgement and attention to detail.
- Strong organisational, communication and interpersonal skills, with the ability to manage competing priorities, deadlines and stakeholders with professionalism and discretion.
- Strong digital and information management capability, including proficiency with Microsoft 365, confidence using board portals and the ability to maintain accurate records, registers and governance systems.

A valid Working with Children Check and National Police Check are required.
